Stephen specialises in private equity, acting predominantly for private equity sponsors and other institutional investors.

Recent highlights include advising:

  • the management team of Formula One Group on the sale to Liberty Media;
  • the management team of Gourmet Burger Kitchen on its £120m sale to Famous Brands Limited;
  • the management team of Elian (formerly Ogier Fiduciary Services) on the sale of the company by Electra Partners to Intertrust Group B.V. for £435m;
  • Appleby on the sale of its fiduciary business, Appleby Fiduciary & Administration, to private equity firm Bridgepoint;
  • Management on its buy-out of Ogier Fiduciary Services from the Ogier Group;
  • Bedell Trust on its management buy-out, which was backed by Inflexion;
  • Caledonia on its minority investment in Bowers & Wilkins. We have recently advised on Caledonia’s sale of their interest;
  • 3i on its minority investment in Hyperion at a deal value of £120m. We subsequently advised on the sale of Hyperion at an equity value of £250m;
  • 3i on its minority investment in Williams Lea. We subsequently advised 3i, the family and management on the sale of the business to Deutsche Post;
  • the selling shareholders of Paroc Group, the leading producer of stone wool insulation in the Nordic and Baltic regions, on its sale to CVC Capital Partners for an enterprise value of approximately €700m. As a precursor to the sale we advised Paroc on a €430m high yield bond issue, a €60m revolving credit facility and all related refinancing and intercreditor issues;
  • Freightliner Group Limited management on its sale to Genesee & Wyoming Inc. from Arcapita;
  • Hollyport Capital on the sale of a significant minority interest in Sauflon Pharmaceuticals Limited, a leading European manufacturer and distributor of soft contact lenses and solutions, to The Cooper Companies, Inc, in a transaction which valued the target at approximately $ 1.2bn;
  • Management on the sale of Northgate and subsequent reinvestment into the Cinven acquisition vehicle;
  • Caledonia Investments on its acquisition of UK holiday park operator Park Holidays UK, for £172m; and
  • ·on the recent £199m sale of Oval Limited to Gallagher Limited.

Stephen is also author of a chapter in both “The Private Equity Review” and “Private Equity Exits”.
