Michelle's practice primarily focuses in the areas of domestic and international mergers and acquisitions (for both private equity and strategic acquirers) and general corporate counseling. She represents clients in their structuring and formation, acquisitions and divestitures, recapitalizations, management buyouts, and corporate restructurings and advises clients on day-to-day corporate and commercial matters such as financing issues and the negotiation of manufacturing, supply, distribution and service agreements.  As outside corporate counsel, she has represented dozens of companies, guiding them through all stages of growth.  She also served for three months as a client's interim in-house general counsel.

Michelle also regularly advises a variety of financial advisory and investment banking clients in their negotiation and rendering of fairness opinions and other related matters. 

Representative Matters

  • Counseled Summit Professional Networks in its acquisition of a magazine publishing company from its private equity shareholders and several follow-on acquisitions. Represented Summit Professional Networks in the sale of its Mining Indaba Event Conference business to Euromoney Institutional Investor PLC and in the sale of its media and marketing solutions business to ALM Media, LLC.
  • Represented Prestige Brands Holdings, Inc., a publicly traded consumer products company, in its acquisition of Insight Pharmaceuticals, the marketer and distributor of iconic OTC brands including Monistat®and EPT®, and in its simultaneous divestiture of Insight Pharmaceuticals’ Bonine motion sickness product line to WellSpring Pharmaceutical Corp. Represented Prestige Brand Holdings, Inc. in its acquisitions of DenTek Oral Care and C.B. Fleet Co. from their respective private equity sponsors. Represented Prestige Brand Holdings, Inc. in its divestitures of healthcare brands New Skin®, PediaCare®, Fiber Choice®, e.p.t.® and Dermoplast®.
  • Advised Publicis Groupe, a French multinational advertising and communications company in both its acquisition of a loyalty marketing and events management business and an innovative consultancy business.
  • Represented Frontenac Company (a Chicago-based private equity firm) and the company's other shareholders in their sale of Ansira Partners, Inc., a customer engagement marketing firm, to KRG Capital Partners.
  • Represented a global commercial real estate firm, in its successful acquisition of property management company, Means Knaus Partners, LP. Acted as legal counsel to JLL in its acquisition of leading workplace technology and management firm, BRG. Acted as legal counsel to JLL in its acquisition of leading workplace technology and management firm, BRG.
  • Represented Brunswick Corporation and Life Fitness, the global leader in commercial fitness equipment, on the acquisition of German company Indoor Cycling Group, a leading provider of indoor cycling equipment.
  • Counsel to Encore Discovery Solutions in its $100 million sale to Epiq Systems, Inc. Frontenac Company was the majority owner of Encore, which provides legal information management services.
  • Represented Bunge North America in its proposed acquisition of an oils and spreads business.
  • Counseled Morgan Stanley Capital Group Inc. and MGM International LLC in their sale of a consulting firm to Mercuria Energy Group.
  • Represented Watco International Holdings Corp. and its private equity sponsor Wind Point Partners in its acquisition of multiple operating company subsidiaries engaged in the manufacture, distribution, marketing and selling of air hygiene and pest control products. Served as counsel to Watco International in the sale of its subsidiary's professional pest control brand to FMC Corporation and in the sale of its North American operations to Zep, Inc.
  • Served as counsel to Design Kitchen, a digital design and marketing communications business, in its sale to Wunderman Worldwide.
  • Counseled a strategic Italian acquirer in its acquisition of a U.S.-based operating company which manufactures closures utilized in the food and health and wellness packaging industries.  Provides ongoing counsel to the acquired business.
  • Represented GolfServ, LLC, an online golf media and marketing company, in its sale to Time Inc.
  • Represented the management team of Captive Resources in connection with its equity recapitalization with Lee Equity Partners.
  • Serves as "outside general counsel" to other clients in a variety of other industries.
