MICHAEL D. PALEY is an Assistant Regional Director in the Enforcement Division at the Securities and Exchange Commission’s New York Regional office, Co-Chair of the SEC Enforcement Division’s Microcap Fraud Task Force, and Co-Coordinator of the SEC’s Microcap Fraud Working Group. Before coming to the Commission in 2005, Mr. Paley was a litigator in private law practice for nearly 12 years, and clerked for the Honorable Robert L. Carter, Senior United States District Judge for the Southern District of New York. He is a 1992 graduate of New York University School of Law, where he was a Root-Tilden-Snow scholar. Michael’s recent cases include SEC v. Carrillo, in which the SEC has charged a Bahamas-based broker dealer and ten individuals, including residents of Canada, Mexico and the Bahamas, in connection with an international microcap market manipulation scheme; SEC v. Electronic Game Card, Inc., in which the SEC charged three officers of a microcap issuer and the issuer’s auditor with false financial statements, earnings reports and audit reports; SEC v. Laidlaw Energy, Inc., charging a microcap issuer with fraud and its CEO with fraud and insider trading; and SEC v. Garber, charging four individuals with fraud and registrations violations in connection with the unlawful sales of billions of penny stocks shares.
