Jan Willem Hoevers specialises in corporate finance with a focus on equity capital markets transactions. Jan Willem advises corporates and financial institutions from close to home and far afield. His regulatory practice ranges from buy-back programs to cross-border clearing and settlement and from block trades to insider trading issues.

Recent projects include advising:

  • Unilever on its 2010 proposed capital restructuring through a cancellation of its 4% cumulative preference shares and a public offer for its 6% and 7% cumulative preference shares
  • Royal BAM Groep N.V. on its 2010 EUR 249 million rights offering
  • The State of the Netherlands on the EUR 200 billion bank guarantee scheme
  • The underwriters in the IPO of AMG Advanced Metallurgical Group N.V.
  • Friesland Foods in their merger with Campina, creating one of the largest dairy companies in the world, and their related capital restructuring
  • on dual-track IPO/sale processes involving OrganonBioSciences (AkzoNobel), NXP Semiconductors (Philips Electronics) and Global Collect (Waterland private equity)
  • NYSE Euronext on the innovative European fast track listing process, working closely with the AFM regulatory authority

Jan Willem's professional career has caused him to spend time as a resident lawyer in New York, Brussels and London. Currently, Jan Willem works in De Brauw's  Amsterdam office. He regularly lectures on Dutch securities law subjects to audiences at home and abroad.
