Delaware amends its General Corporation Laws, its Limited Liability Company Act and its Limited Partnership Act annually.  2018 has been no exception.  In this Briefing, Emily V. Burton of Young Conaway Stargatt & Taylor, LLP, and Joshua J. Novak of Richards, Layton & Finger, P.A. will summarize those amendments and their implications for Delaware entities.

Key Amendments include:

  • Clarification of the scope of ratification under Sections 204 and 205 of the DGCL
  • Expansion of the “market out” exception to appraisal rights for Delaware corporations
  • Further statutory support for “registered series” of LLCs
  • Permitting the formation of statutory public benefit LLCs
  • Creating the concept of division for Delaware LLCs
