Overview

Beginning over 5 years ago and with impetus from the JOBS and FAST Acts, the SEC has engaged in an extensive process of gathering constituent input and proposing significant changes in disclosures, deadlines and other areas.  Many of these changes have been finalized and many are still in process.  Companies face many challenges in deciding how to implement the finalized changes and preparing for even more changes going forward.

 

Please join PLI SEC Institute workshop leaders Gary M. Brown and George M. Wilson as they: 

  • Outline the “big picture” of the SEC’s change process including requests for comment, concept releases and proposed rules
  • Review which proposals have been finalized and which are still in process
  • Analyze the implications of the SEC’s proposed new definitions of accelerated and large accelerated filer
  • Summarize the details and review examples of how companies have made changes from the SEC’s August 2018 Disclosure Update and Simplification Final Rule
  • Breakdown the details and change process to date from the SEC’s March 2019 Disclosure Modernization and Simplification Final Rule
  • Discuss further changes in process including information about acquired businesses
  • Build a sense of the future direction for the SEC’s disclosure effectiveness process
