Overview

It is inevitable:  If you are not already doing cross-border M&A transactions, you probably will be soon. Over the last several years, cross-border M&A transactions have become commonplace.  Whether you are acquiring assets overseas, being acquired by a foreign entity or acquiring a U.S.-entity with significant foreign assets, it feels cross-border considerations are touching almost every deal.  But even as cross-border M&A has become common, it has not become simple.

Experts will discuss issues involved in cross-border M&A transactions, including the following topics:

  • Key legal and cultural differences between M&A transactions in the U.S. and abroad (10 minutes)
  • Different indemnification paradigms in U.S. and foreign jurisdictions (10 minutes)
  • The differences between RWI coverage in the U.S. and abroad (10 minutes)
  • A guide to where insurers are writing — and not writing — RWI (10 minutes)
  • Common exclusions and areas of heightened underwriting scrutiny for domestic and foreign RWI (10 minutes)
  • New developments and trends in RWI coverage (10 minutes)
