Overview

Financings and merger and acquisition transactions in the cannabis industry have been increasing in both volume and size.   The “Green Rush”, a riff on the Gold Rush of the 19th Century, is burgeoning and has migrated south from industry catalyst Canada to the far larger United States.  American cannabis companies and their longer established counterparts to the north are rushing to gain size and scale and establish brands while U.S. federal prohibition still largely keeps the packaged goods behemoths of soft drinks, alcohol and tobacco on the sidelines.

James Rieger, Partner at Tannenbaum Helpern Syracuse & Hirschtritt LLP and Chair of their cannabis industry practice, will lead an insightful discussion addressing transactions in the cannabis industry, and will address the following topics:

  • Canada’s head start and why it matters
  • Conflict between U.S. federal and state law and how it affects capital flows and financings
  • Stock exchange listing requirements and how it affects M&A
  • The market for venture  and start-up capital
  • Pitfalls of cannabis transactions
