Overview

Why You Should Attend

In this virtual Workshop for legal professionals, you will build the practical knowledge base, skills and tools required to succeed in an SEC reporting role and apply these tools to examples in practice.  This Workshop is the first step in our Essentials curriculum and provides the foundation needed for our add-on Essentials Workshops:

  • Form 10-K (Part One): Business, Risk Factors & Part I Disclosures Essentials Workshop
  • Form 10-K (Part Two): Financial Statements & Parts II, III & IV Disclosures Essentials Workshop
  • MD&A SEC Reporting Essentials Workshop
  • Form 8-K SEC Reporting Essentials Workshop
  • Form 10-Q, Proxy Statement, and Section 16 SEC Reporting Essentials Workshop

Participants will learn the legal foundations of SEC reporting in the Securities Act of 1933 (the “Securities Act”) and the Securities Exchange Act of 1934 (the “Exchange Act”), discuss when there is a “duty to disclose” and build an understanding of the SEC’s Integrated Disclosure System.  This is an interactive Workshop (via Zoom) during which participants are encouraged to participate in practice exercises and discussions intended to enhance and deepen the learning process. 

The Workshop includes online access to PLI’s SEC Reporting Handbook.

What You Will Learn

After completing this Workshop, participants will be able to:

  • Appreciate the scope of the Securities Act and Exchange Act
  • Navigate the SEC’s Integrated Disclosure System, including Regulation S-K’s disclosure requirements
  • Apply the SEC’s rules, guidance and constraints dealing with public company communications, including Regulation FD (“fair disclosure”) and non-GAAP measure guidance
  • Provide advice with respect to the SEC’s 2023 rules regarding insider trading policies and the use of Rule 10b5-1 plans by companies as well as directors and officers
  • Utilize other sources of SEC guidance, including Compliance and Disclosure Interpretations (C&DIs), Staff Legal Bulletins (SLBs) and the Financial Reporting Manual, to address reporting questions
  • Understand the SEC’s organization and function

What You Should Bring

To customize your Workshop and gain the most benefit from this interactive learning experience, we recommend you have access to your company’s or a client’s most recent SEC Forms 10-K and 10-Q and a recent 8-K filing. If you work with a company that is not yet public, filings from a company in your industry are a reasonable alternative.
