Overview

Understanding and effectively deploying Representations & Warranties Insurance (“RWI”) and other Transactional Risk Insurance (TRI) products, like Tax Liability Insurance and Litigation Insurance, has become critical for mergers and acquisitions (M&A) professionals and their advisors. 


This new program will provide lawyers and other M&A professionals with an understanding of the breadth of RWI and other TRI products and their strategic uses in mergers & acquisitions, asset purchases, and other corporate transactions.  


First, we will provide an overview of RWI and explain how it is being used strategically in M&A and other corporate transactions. In this section, we will also provide an update into the expanding uses of RWI. Further, we will take a look at the RWI claims process and what we can learn from the types of claims being brought under RWI policies. Next, the faculty will introduce attendees to other forms of TRI, including tax insurance, litigation insurance and several other contingent liability products.

• Understand representations and warranties insurance (RWI) and how it is used in M&A transactions

• Understand new and innovative uses of RWI policies.

• Understand current underwriting, pricing, retention, and coverage trends for RWI 

• Understand the RWI claims process and what we can learn from RWI claims trends

• Review the risks associated with tax liabilities in transactions, and how tax insurance can help mitigate those risks.

• Discuss other types of insurance policies for specific litigation and other contingent liability insurance

• Understand underwriting trends for litigation, tax liability and other specific contingency insurance products
