Overview

Why You Should Attend

Designed for accounting and financial reporting professionals with prior SEC reporting experience, this virtual Workshop provides an in-depth examination of the Business, Risk Factors and MD&A sections in Form 10-K.  The Workshop is conducted over two afternoons (half-days).

Best practice examples from different industries and companies are discussed in each section to illustrate effective disclosure practices.  This is an interactive Workshop (via Zoom) and open discussion is encouraged to enhance the learning process. 

The Workshop includes online access to PLI’s SEC Reporting Handbook.

What You Will Learn

  • The SEC’s Disclosure Modernization changes to the Business section, including best practices for human capital resources disclosures
  • Risk Factor disclosure updates, including when a summary is required, using headings, and building concise descriptions
  • Risk Factor best practices for emerging and evolving areas including climate change, cybersecurity, and COVID-19
  • The SEC’s November 2020 changes to MD&A and other financial disclosures with examples for areas including critical accounting estimates and contractual obligations
  • Intricacies of preparing the MD&A and best practice examples
  • Key components of the MD&A Financial Releases
  • Latest developments in Non-GAAP and metric rules and practice issues
  • Interrelationship among the Business, Risk Factors and MD&A sections
  • Other SEC disclosure initiatives and how these impact Form 10-K

What You Should Have

To customize your Workshop experience and gain the most benefit from it, we recommend you have access to your company’s or a client’s Forms 10-K and 10-Q.

Prerequisites:  Attendees should have some prior experience with the SEC reporting process. We recommend first attending either the SEC 101 Reporting Essentials for Financial Professionals Workshop 2022  or the SEC 101 Reporting Essentials for Lawyers Workshop 2022 so that you have the foundational tools and skills necessary for this program.
