SECI’s Essentials Workshops

SEC Institute has designed a series of new half-day interactive, virtual Workshops for busy SEC reporting professionals. Our virtual Workshops are built in a modular format, allowing you to pick and choose the content to meet your educational needs on a flexible schedule and from the comfort of your own workspace. 

In our small, virtual classroom settings you will be able to see and interact with our Workshop leaders and other class participants directly through our interactive learning platform. Workshop leaders review filings from participant companies in advance of the Workshop to help focus on relevant issues for each group. Participants are encouraged to ask questions, and we recommend having access to your company’s or a client’s most recent SEC filings to customize your learning experience.

We are currently offering two foundational courses and several add-on courses. Each virtual Workshop is continuously updated to include recent changes from the SEC.

About SECI’s Essentials Workshops

SEC 101 Reporting Essentials for Financial Professionals Workshop (Foundational Course)

Designed for financial reporting professionals, participants will build the practical knowledge base, skills and tools required to succeed in an SEC reporting role and apply these tools to examples from the Form 10-K annual report. Participants will learn the process of researching SEC disclosure questions and working with the SEC staff in the review process.

SEC 101 Reporting Essentials for Lawyers Workshop (Foundational Course)

Designed specifically for lawyers, participants will build the practical knowledge base, skills and tools required to succeed in an SEC reporting role and apply these tools to examples from practice. Learn the legal foundations of SEC reporting in the Securities Act of 1933 and the Securities Exchange Act of 1934, discuss when there is a “duty to disclose” and build an understanding of the SEC’s Integrated Disclosure System.

Foreign Private Issuer 101 Reporting Essentials Workshop

Participants will build the foundational knowledge, skills and tools required to successfully navigate the SEC’s reporting scheme for foreign private issuers. Topics addressed include building an understanding of the structure and sources of U.S. federal securities laws and gaining knowledge of key SEC guidance and disclosure and reporting issues relevant for foreign private issuers.

Form 10-K (Part One): Business, Risk Factors & Part I Disclosures Essentials Workshop (Add-On Course)

Build the practical knowledge base, skills and tools needed to draft and review the business, risk factors and related company background sections in Part I of the Form 10-K annual report. Discussion will include requirements from Regulation S-K for non-financial statement disclosures as well as requirements from the Staff Accounting Bulletins, Compliance and Disclosure Interpretations and other SEC reporting sources. Discussion will also include climate change and other evolving disclosure areas as well as frequent SEC comment areas for these sections of the Form 10-K.

Form 10-K (Part Two): Financial Statements & Parts II, III & IV Disclosures Essentials Workshop (Add-On Course)

Build the practical knowledge base, skills and tools needed to draft and review the disclosures in Parts II, III & IV of the Form 10-K annual report, including the financial statements. Discussion will include the requirements from Regulation S-K for non-financial statement disclosures, the financial statement requirements of Regulation S-X, as well as the requirements from Staff Accounting Bulletins, Compliance and Disclosure Interpretations and other SEC reporting sources. Discussion will also include pay versus performance and other evolving disclosure areas as well as frequent SEC comment areas for these sections of the Form 10-K.

MD&A SEC Reporting Essentials Workshop (Add-On Course)

Learn the knowledge and skills required to prepare or review MD&A. Discussion will include the key principles and objectives of MD&A and the key sources of MD&A guidance. Numerous examples will be presented and discussed to demonstrate the challenges in MD&A disclosure. Discussion will also include frequent MD&A SEC comment areas.

Form 10-Q, Proxy Statement and Section 16 SEC Reporting Essentials Workshop (Add-On Course)

Build the knowledge and skills needed to draft and review the Form 10-Q quarterly report. You will also review disclosures required in proxy statements for annual meetings and understand the requirements of Section 16 reporting.

Form 8-K SEC Reporting Essentials Workshop (Add-On Course)

Learn to prepare and review the Current Reports on Form 8-K when and as required by the SEC. You will learn how to determine when a Form 8-K is required and when a voluntary Form 8-K may be appropriate. Required disclosures and compliance tips for each Form 8-K Item will be reviewed.

Form 20-F (Part One): Key Information, Risk Factors & Part I Disclosures Essentials Workshop

Develop the practical knowledge base, skills and tools needed to draft and review Part I of the Form 20-F Annual Report for foreign private issuers (FPIs). This program focuses on disclosure requirements for key information about the company, including risk factors; directors, shareholders, and related matters; and qualitative and quantitative disclosures regarding market risks.

Form 20-F (Part Two): Parts II & III Disclosures Essentials Workshop

Develop the practical knowledge base, skills and tools needed to draft and review Parts II and III of the Form 20-F Annual Report for foreign private issuers (FPIs). This program focuses on the disclosure requirements for controls and procedures, financial statements, governance (including cybersecurity and climate-related matters), and exhibits.
