Tom Lewis is a Director at PwC based in Chicago. Tom is part of PwC's Capital Markets practice which advises companies on:

  • IPOs
  • Divestitures - carve-out and spin-offs
  • Private placements - 144A debt
  • Mergers and acquisitions, both domestic and cross-border

Tom helps companies anticipate and resolve accounting, reporting and capital raising issues before they impact value.

Recently Tom has advised on the pending acquisition of Bausch & Lomb by Valeant Pharmaceuticals, the registration of $3.3 billion of Notes by Reynolds Group, Kraft Foods' spin-off from Mondelez and Chrysler LLC's equity security registration. Tom also advised Tronox Ltd in their emergence from bankruptcy, re-entry to the U.S. capital markets, execution of a corporate inversion transaction and a significant business acquisition.

From 2005 - 2010 Tom was resident in PwC's Düsseldorf, Germany office. There Tom focused on providing SEC reporting advice to foreign private issuers, to other German companies seeking to access the U.S. capital markets via private placements as well as to U.S. based registrants in executing cross-border M&A transactions.

Tom began with the Firm in September 2000 as a member of the audit practice in Charlotte, NC after graduating from the State University of New York at Buffalo.
