Stuart Fleischmann joined Shearman & Sterling in 1982 and has spent his entire career at the firm. He is currently a partner in the firm’s Capital Markets Group and spends time in both the New York and Sao Paulo offices focusing principally on debt and equity offerings by Latin American companies, sovereign nations and quasi-governmental entities. He regularly represents underwriters and issuers, primarily in the oil and gas, steel, telephone, electricity and financial institution industries, on a wide range of SEC registered, 144A/Regulation S and private placements of debt and equity securities. He is also regularly involved in such novel transactions as toll road financings and securitizations involving credit cards, residential mortgages, international oil payments, money transfers and electronic remittances, loan pools, auto and farm equipment loans and leases and franchise revenues.

Selected Experience

  • Represented the International Underwriters in the $69 billion equity offering by Petrobras, the Brazilian state oil company, in the largest equity offering of all time
  • Represented the International Underwriters in the $11 billion debt offering by Petrobras, the largest ever by a Brazilian issuer, as well as the International Underwriters and Lenders for substantially all of Petrobras' financings since 2001
  • Represented the International Underwriters for various 144A/Regulation S offerings by Pemex, the Mexican state oil company, including all of its issuances of Global Depository Notes (GDNs)
  • Represented BNDES, the largest Brazilian state owned bank, in various international debt offerings, including its issuance of bonds exchangeable into shares of Embraer, S.A., the Brazilian aircraft manufacturer held by BNDES
  • Represented Azul S.A. in its pending SEC registered initial public offering
  • Represented the International Underwriters in the $4 billion SEC registered IPO of the holding company for Mexico’s Banco Santander Mexico
  • Represented Caixa Economica Federal, the second largest state owned bank, in its various international debt offerings
  • Represented the International Underwriters for, among others, Brazil’s BTG Bank, BTG Investments, Santander Brasil, Banco Safra, Banco Nordeste and Banrisul, Argentina’s Banco Rio de la Plata, Banco Frances and Banco de Galicia, Chile’s Corpbanca, Santander Chile and Banco Estado, Peru’s Interbank, Mexico’s Santander Mexico, Bancomer S.A. and InverMexico and Panama’s Banco General, BANISTMO and Banco Continental in their international debt offerings
  • Represented the International Underwriters for the Governments of Chile, Bolivia, Colombia and Uruguay in various sovereign debt offerings
  • Represented the International Underwriters in debt offerings and liability management transactions for numerous corporate issuers, including JBS, Bertin, Ecovias, Gerdau, Suzano Cellulose, Provida, Alsacia, Coazucar and others throughout Latin America
  • Represented the International Underwriters for international debt offerings by Novartis and GDF Suez
  • Represented Sonic Industries in its $1.2 billion franchise royalty securitization, Interbank in its MT100 DPR money transfer securitization, as well as the International Underwriters in various cross-border securitization transactions for Aero Mexico, Banamex, Banrisul, Alsacia and others
  • Represented Private Export Funding Corporation in financings for over 100 aircraft purchased by Latin American and other airlines in over 25 countries as well as regular secured note financings guaranteed by the US Export- Import Bank of the United States
  • Represented John Deere in numerous SEC registered public ABS transactions involving securitizations of its farm equipment receivables
  • Represented Bank of America/Merrill Lynch in numerous SEC registered ABS offerings of its "PPLUS" repackaged securities
