Steven D. Winegar is a Corporate partner in the firm's Hong Kong office. He has a corporate transactional practice on capital markets, M&A and private equity transactions. Mr. Winegar regularly advises issuers and underwriters in Hong Kong, the PRC, Korea, Philippines, Malaysia and the U.S., on international debt and equity issuances, such as high yield, investment grade and convertible debt offerings and IPOs, secondary offerings, top-up equity placements, rights offerings and block trades etc. He also represents both buyers and sellers in M&A, including take-private transactions.

Mr. Winegar joined Paul Hastings from a global investment bank where he was managing director and head of legal for the investment banking, capital markets and principal investment areas of the bank in Asia ex-Japan.

Recent Representations

  • WH Group, the world’s largest pork company, with global leadership across key segments of the industry value chain, including packaged meats, fresh pork and hog production, in its US$2.36 billion global offering and IPO on the Main Board of the Hong Kong Stock Exchange. Morgan Stanley Asia Limited and BOCI Asia Limited acted as the underwriters. This transaction marked one of the largest Hong Kong IPOs in 2014 and was awarded Deal of the Year by China Business Law Journal.
  • Samsung SDS, an information technology service provider based in Korea, in the US$1.1 billion IPO and listing on the KRX KOSPI Market. This was one of the largest IPOs in South Korea in 2014 (advised Goldman Sachs and J.P. Morgan as the underwriters).
  • Haitong Securities Co. Ltd., the second largest securities firm in China by total assets, on the US$1.68 billion global offering and IPO of H-shares on the Main Board of the Hong Kong Stock Exchange (advised Haitong International, J.P. Morgan, Credit Suisse, Deutsche Bank, Citigroup and UBS, as joint global coordinators, and other underwriters). Haitong was the second Chinese securities firm to list H-shares on the Hong Kong Stock Exchange.
  • Travellers International Hotel Group, Inc., the developer and operator of Resorts World Manila, an integrated tourism resort in the Philippines, on its US$471 million initial public offering and listing on the Philippine Stock Exchange (advised BofA Merrill Lynch, CIMB, Maybank ATR Kim Eng, Religare, UBS, CLSA, Credit Suisse and Morgan Stanley as the international underwriters).
  • Coach, Inc., a leading marketer of modern classic American accessories, on its secondary listing of Hong Kong Depositary Receipts (HDRs) on the Main Board of the Hong Kong Stock Exchange by way of introduction. Coach, Inc. is the first NYSE-listed US domestic issuer to seek a listing in Hong Kong. This is the third listing of HDRs on the Hong Kong Stock Exchange (advised J.P. Morgan as the sole sponsor and the depositary bank).
  • Jiayuan.com, the largest online dating website in China, on its US$80 million IPO on the NASDAQ Stock Market. Bank of America Merrill Lynch, Citigroup, China International Capital Corporation, Oppenheimer & Co. Inc. and Stifel Nicolaus Weisel were the underwriters.
  • Ninetowns Internet Technology Group, a NASDAQ-listed provider of online solutions in China for international trade, in connection with a going-private transaction completed by a management-led consortium in 2014.
