Shepherd G. Pryor IV, Managing Director, Board Resources, is a corporate director, visiting professor of finance, author, expert witness and consultant. Formerly SVP Deputy Group Head/Corporate Banking, Wells Fargo Bank, he has served on the boards and audit committees of 10 corporations, including financial institutions, retailers, manufacturers, and service companies.  

After a 20-year banking career, specializing in corporate banking, including the financing of 100 corporate transformations through leveraged buyouts and M&A transactions, he embarked on a consulting career, providing services to financial institutions on 4 continents. He is also the veteran of over 30 assignments as an expert witness on the practices of lenders and corporate directors. These experiences have given him a keen understanding of the difference between how business dealings are intended to work, and how they look when things go wrong.

As a corporate director, he has served on many audit committees, frequently as the chair. These committees have dealt with issues as disparate as federal bank regulation, SEC filings (sometimes with all the company’s assets in China), ESOPs, implementing Sarbanes Oxley and Dodd Frank, internal investigations, and changing accounting firms.

Shep is the co-author of two books: Building Value through Strategy, Risk Assessment, and Renewal, and The Private Equity Edge. He graduated from the University of Chicago Booth School of Business with an MBA in Finance, and from Princeton University with an A.B. (cum laude) in Economics.
