RYAN is of counsel with our firm in New York. His practice focuses on emerging companies, venture capital, mergers and acquisitions, private financings and general corporate and securities representations.

Ryan provides general corporate and securities advice to private and public companies, particularly those in the social media, e-commerce, software, gaming, SaaS, entertainment, security, energy and other high-technology industries. Ryan represents start-ups and venture backed companies with their formations, equity and debt financings and general corporate matters, as well as counseling management and boards of directors on fund-raising, employment, commercialization, fiduciary duty and other matters. He also regularly represents venture capital and private equity investors in private financings in a broad range of industries.

In addition to his general corporate practice, Ryan spends a significant portion of his time working with later-stage venture capital and private equity funds, executing complex, domestic and international investment, buyout, acquisition and tender offer transactions. His international experience includes transactions in Russia, Turkey, Nigeria, India, Indonesia, Brazil, Israel, the U.A.E. and the U.K.

Ryan also has extensive experience in mergers and acquisitions. Ryan has represented both buyers and sellers in public and private transactions, in a broad range of technology segments.

Ryan received his J.D. and his M.A. in Economics from the Duke University and prior to joining Gunderson Dettmer, Ryan was the General Counsel of Social Capital, a multi-strategy investment advisor based in Palo Alto, CA. Ryan is a member of the bars of New York and New Jersey.
