  • Molina Healthcare: (ticker MOH), a Fortune 152 Medicaid managed care company with a market
    capitalization of approximately $9.2B and revenues of $18B.
  • Transamerica: a wholly owned subsidiary of Aegon, a top ten competitor the life insurance and
    annuity business with 2017 revenues of $14.8B and pre-tax earnings of $1.3B.

Highlights of my Board experience include:

  • Chairman of Molina Compensation Committee: responsible for the management, development and effective performance of the Compensation Committee including:
  •  Act as Chair at all meetings and set related agendas, oversee the development of short and long-term compensation plans for NEO’s, conduct CEO performance assessment and ensure the timely distribution of appropriate information to the full Board.
  • When necessary, retain external expert counsel and advisory services.
  • Act in advisory capacity to the Board Chairman and CEO in all compensation matters.
  • Speaker, Equilar & NASDAQ Compensation Committee Forum, March 20, 2018.  
  • Strategic Planning & Capital Structure: play leading role on various pricing committees for
    capital raising (bank, bond and equity) and in assisting management in evaluating proposed
    mergers, acquisitions and divestitures.
  • C-Suite Oversight & Transition: proven ability to oversee management and work collegially
    with other Board members to ensure accountability, effect positive change and enhance
    shareholder value. Unique experience related to the termination of underperforming founders/senior
    management team and the engagement of new CEO of a public company.
