Richard McManus is a Managing Director for PwC's Washington National Tax Services (WNTS) Mergers and Acquisitions practice. Mr. McManus leads the planning, structuring and execution of transactions of all sizes, as well as interprets complex legislation and regulations and represents corporate clients before the IRS. Mr. McManus is a subject matter expert in the rules involving corporate reorganizations and spinoffs, as well as the rules that apply to troubled company tax issues including IRC 382. Mr. McManus is also an expert in obtaining private letter rulings on complex Sub C issues.

Prior to joining PwC in 1998, Mr. McManus worked as an in-house tax attorney for a Fortune 500 multinational. Prior to that, Mr. McManus had a distinguished career in the Federal government, serving as a military trial and appellate criminal attorney and then as an IRS corporate tax attorney. Mr. McManus has lectured internally at PwC and externally on a number of Subchapter C tax topics at tax meetings throughout the United States. Mr. McManus has authored articles for several noteworthy publications including Tax Notes, The Business Entities Journal, The Tax Advisor, and the Journal of Taxation. Mr. McManus is also a member of the Massachusetts Bar, the US Court of Military Appeals, and the tax section of the American Bar Association.

Mr. McManus earned his LL.M from the George Washington University Law School (1989); his J.D. from Catholic University Law School (1982); and his BA from the College of Holy Cross (1979).
