R. Scott Widen

R. Scott Widen is a counsel in O’Melveny’s New York office and a member of the Mergers and Acquisitions Practice.

Scott has broad experience representing public and private companies in mergers, acquisitions, and joint ventures, with a focus on representing investment banks in connection with their advisory and private equity businesses and related regulatory and compliance matters. Scott also has experience in public and private debt and equity offerings.

Previously, Scott has acted as the senior in-house lawyer advising the fairness and valuation committees of Donaldson, Lufkin & Jenrette, Credit Suisse First Boston and Bear Stearns. In these roles, Scott has advised on hundreds of fairness and valuation opinions and related matters.

Since returning to private practice, Scott has advised each of Banc of America Securities/Merrill Lynch, Bear Stearns, Centerview Partners, Duff & Phelps, Evercore Partners, Goldman Sachs, Houlihan Lokey, Moelis & Company, Piper Jaffray, Qatalyst Partners, Raine Securities, RBC Capital Markets, Sagent Advisors and UBS Investment Bank on a variety of financial advisory matters.

Scott has lectured at Harvard Law School on investment banking valuation practices and his published writings on this topic have been used as course materials at each of Harvard Law School and the University of Virginia’s Darden School of Business, and have been cited by the Delaware Chancery Court.
