Ori Solomon is a partner in the Corporate Department and a member of our Chambers ranked Private Equity and Mergers & Acquisitions Groups.

Ori’s transaction-based practice focuses primarily on representing private equity funds and their portfolio companies in a variety of mergers and acquisitions, venture and growth equity financings, secondary investments, leveraged recapitalizations, joint ventures and other strategic transactions. He also provides general corporate representation to a wide range of companies, from start-ups and emerging growth companies to large public companies.

Ori works on behalf of both buyers and sellers in structuring, negotiating and documenting acquisitions and leveraged buyouts involving public and private companies, and also has significant experience in public and private corporate finance transactions, including registered equity offerings, venture capital financings, PIPEs and other alternative financing transactions. He regularly advises public company clients with respect to corporate governance issues, board of directors matters, SEC periodic reporting and other securities law compliance, proxy statements and annual meetings, disclosure controls and procedures, and Sarbanes-Oxley and other related matters.

Ori has counseled many of the Firm’s private equity clients, such as .406 Ventures, Arch Venture Partners, Ares Management, Baker Capital, Lexington Partners, JPMorgan Partners, New Enterprise Associates, New Leaf Ventures, and W Capital among others regarding acquisitions, divestitures and portfolio investments as well as ongoing general corporate advice.

Ori has represented clients in a variety of industries, including financial services; information technology, ecommerce and other internet-based businesses; business services; communications and media; life sciences and health care; consumer products and retail; energy; and traditional manufacturing industries.
