Nancy Laethem Stern is a partner in the Chicago office of the law firm Katten Muchin Rosenman LLP. She represents publicly and privately held companies in acquisitions and disposition transactions, including mergers, asset and stock acquisitions and dispositions and employee stock ownership plan (ESOP) transactions.

Ms. Stern counsels fiduciaries on the exercise of their duties in the context of a corporate transaction and has extensive experience coordinating complex transactions.

Ms. Stern counsels companies on matters of general corporate law and corporate governance. She has served in the role of general counsel for several private companies and has experience with internal investigations. 

Ms. Stern received her law degree and undergraduate degree in economics from the University of Michigan (J.D., 1994; A.B., with distinction, 1991). She served as law clerk to the Honorable Robert H. Cleland, United States District Judge (1994-1996). Ms. Stern is admitted to practice in Illinois.
