Michelle Warner is Corporate Vice President, Deputy General Counsel and Secretary for Motorola Solutions, Inc., a leading provider of mission-critical communication solutions and services for enterprise and government customers with approximately 22,000 employees operating in over sixty countries.  Michelle joined then Motorola, Inc. in 1997 as Senior Counsel, Transactions and worked her way up through the Law Department, leading many of Motorola’s transformative acquisitions and divestitures over the last ten years, including the IPO/spin-off of the semiconductor business which became Freescale Semiconductor, the $4 billion acquisition of Symbol Technologies, Inc., the spin-off of Motorola Mobility Holdings, Inc. which was recently acquired by Google and the $1 billion sale of the networks business to Nokia Siemens Networks. 

Michelle and her team are responsible for all acquisitions, divestitures, joint ventures and equity investments for Motorola Solutions globally.  Following the spin-off of Motorola Mobility in January 2011, Michelle also assumed responsibility for the Corporate and Securities practices, which includes interaction with the Board of Directors, including serving as the secretary to the Audit Committee, compliance with securities laws, corporate governance matters, treasury matters and management of over 200 subsidiaries.  In June 2013 Michelle was promoted to Deputy General Counsel and Secretary to the Board of Directors and in September 2013 she assumed reporting responsibility for and is on the Board of the Motorola Solutions Foundation.  

Michelle began her legal career at McDermott, Will & Emery where she practiced from 1991 to 1994. She then joined Holleb & Coff where she practiced until joining Motorola in 1997.  Michelle received her Juris Doctorate degree from the Northwestern University School of Law in 1991and her Bachelor of Arts degree in Economics, cum laude, from Denison University in 1988. 

Michelle is a member of the President’s Council of the Museum of Science and Industry and serves on the Museum’s Building Preservation Committee.  She is also a member of the Association of Corporate Counsel and is on the Executive Committee for the Ray Garrett Jr. Corporate and Securities Law Institute at Northwestern University School of Law.  Michelle regularly participates as a panel member of the Garrett Institute, as well as at other professional conferences.
