Maripat Alpuche is a Partner concentrating in mergers and acquisitions and capital markets transactions involving financial institutions and has worked on many of the largest mergers in the financial institutions industry, including: Mellon Financial Corporation’s merger with The Bank of New York Company, Inc. ($29 billion); JPMorgan Chase & Co.’s merger with Bank One Corporation ($58 billion); Manulife Financial Corporation’s acquisition of John Hancock Financial Services ($11 billion); Wachovia Corporation’s merger with First Union Corporation ($13.14 billion) and its successful hostile takeover defense against SunTrust Banks ($13.7 billion); and Chase Manhattan Corporation’s acquisition of J.P. Morgan & Co. ($34 billion).

Maripat is a leading practitioner in the area of credit card portfolio and business sales and program transactions. Her major representations in this area include: Nordstrom, Inc. in its recent sale and program agreement with TD Bank ($2.2 billion); Macy’s in its initial sale and program renewal with Citibank ($7 billion); TD Bank in its acquisition of the Target portfolio ($5.9 billion) and the Aeroplan portfolio ($3 billion); Best Buy Co. Inc. in its program with Citibank ($7 billion); and various other retailers, including The Neiman Marcus Group, Saks, Inc., Barneys New York; Hudson’s Bay, and Talbots, Inc., and financial institutions, including JPMorgan Chase,  TD Bank and People’s United Financial.

Since the financial crisis, Maripat has assisted financial institutions, underwriters and investors in connection with numerous public and private capital raising transactions. Representative transactions include representation of financial institution issuers and underwriting in various significant public equity and debt offerings; representation of The Carlyle Group in connection with its investments in the recapitalizations of FNB United, Hampton Roads Bankshares, Brand Banking Co. and Boston Private Financial Holdings, Inc.; representation of various other issuers and investors in recapitalization transactions involving banking institutions, including IndyMac Federal Bank, FSB, BankUnited and Hamilton State Bancshares.

Other M&A representations have included  transactions involving major broker-dealer organizations, including: Wells Fargo & Company in its divestiture of HDVest, Inc. and its acquisition of Prudential Financial Inc.’s stake in its retail brokerage joint venture; Wachovia Corporation in its acquisition of A.G. Edwards, Inc. ($6.8 billion) and its retail brokerage venture with Prudential Financial Inc. ($1 billion); and JPMorgan Chase & Co. in its sale of BrownCo  to E*Trade Financial Corp. ($1.6 billion).

Maripat was recently recognized in Chambers USA: America’s Leading Lawyers for Business 2014.

Maripat is Co-Chair of the Firm’s Women’s Committee.
