Marc S. Rosenberg is a partner in Cravath's Corporate Department, where he serves as co-chair of the Corporate Governance and Board Advisory group. His practice includes counseling boards of directors, board committees and senior management in connection with SEC investigations, governance issues and other special situations, as well as securities work and mergers and acquisitions.

Mr. Rosenberg was recognized as one of the 100 most influential people in the boardroom by the National Association of Corporate Directors in its most recent survey. He was named a leading lawyer in corporate governance by PLC Cross-Border: Corporate Governance and Directors' Duties 2008/09 and in securities law by The Best Lawyers in America in 2009 and 2010. Mr. Rosenberg was cited as one of the country's leading practitioners in capital markets by Chambers USA: America's Leading Lawyers for Business in 2008 and 2010 and Chambers Global: The World's Leading Lawyers for Business in 2008. He was also cited as a leading practitioner in securities regulation by Chambers USA in 2010. Mr. Rosenberg was recognized by The Legal 500 for his work in capital markets and corporate governance in 2008 and 2009.

Mr. Rosenberg was born in New York, New York. He received an A.B. summa cum laude from Princeton University in 1980, where he was elected to Phi Beta Kappa, and a J.D. magna cum laude from Harvard Law School in 1983, where he was a recipient of the Sears Prize and an Editor of the Law Review. After a one-year clerkship with Hon. Walter R. Mansfield of the U.S. Court of Appeals for the Second Circuit, he joined Cravath in 1985 and became a partner in 1990.
