Laura Badian is a counsel in Arnold & Porter LLP’s Washington, D.C. office. Ms. Badian’s practice encompasses Securities and Exchange Commission (SEC) regulatory and compliance issues, capital market transactions, mergers and acquisitions, and governance. Ms. Badian has represented numerous clients, including issuers, investment banks, financial institutions, broker-dealers, investment advisers, and funds. She also advises clients on legislative and public policy matters related to securities and banking issues and financial and regulatory policy. Prior to joining Arnold & Porter, Ms. Badian served as a Managing Director of Kalorama Partners, LLC, a consulting firm founded by former SEC Chairman Harvey L. Pitt. At Kalorama, she provided strategic advice to public companies and financial services clients on SEC, governance, legislative, and public policy matters. Ms. Badian served for five years in the SEC’s Division of Corporation Finance, where she reviewed domestic and international tender offers, going private transactions, and business combinations and formulated the Division’s response to numerous requests for no-action positions. She is the co-author of a significant SEC Release on cross-border tender offers and business combinations. Ms. Badian received her J.D. from the University of Chicago Law School and an M.B.A. from the Wharton Graduate School.
