Keith Haynes’ expertise encompasses proxy and corporate governance issues. He regularly consults with companies on matters requiring shareholder approval, including merger and acquisition transactions and contested solicitations.

Through the course of his more than 20 years at Georgeson, Keith has been involved in over 1,000 proxy solicitations on behalf of hundreds of corporations, spanning a variety of industries. Keith has provided strategic planning advice for challenging proxy solicitations, including predictive analysis, shareholder profiling, and review of key governance and compensation issues.  Keith has also represented closed-end management investment companies and business development corporations in mergers and hostile proxy solicitation contests. He provides clients with insight into the composition of shareholder bases, institutional voting trends and message development.

Over the years, Keith has participated in:

  • Providing advisory services in connection with Activism Preparedness
  • Multiple tender offer and merger transactions on behalf of 3M, Amgen, Dollar Tree, Safeway, and others
  • A variety of solicitation campaigns for Abbott Labs, AOL, Dollar Tree, McDonald’s, McKesson, New York Times, Sysco, Target, Texas Instruments, Time Warner, and others
  • Target’s proxy fight against Pershing Square Capital Management

Prior to joining Georgeson, Keith was manager of investor relations at Bristol-Myers Squibb Company where he was responsible for communicating with the company’s institutional investors in addition to buy and sell-side analysts.

Keith is a member of the National Investor Relations Institute, the Council of Institutional Investors and the Society of Corporate Secretaries.   He earned a bachelor’s degree in economics from Williams College.
