Kathleen Walsh is a partner in the New York office of Latham & Watkins. Ms. Walsh is Vice Chair of the firm's Global Corporate Department and former Global Co-Chair of the firm’s Investment Funds Practice. Ms. Walsh’s practice focuses on private investment fund formation, internal sponsor arrangements, and private fund portfolio investments.

Ms. Walsh represents private investment fund sponsors and principals in connection with the organization of both US and global private equity funds, including:
  • Buyout funds
  • Infrastructure, power, and energy funds
  • Venture funds
  • Fund of funds
  • Mezzanine funds
  • Distressed debt funds

Ms. Walsh’s practice includes the structuring and negotiation of fund agreements, co-investment arrangements, and internal sponsor arrangements; advising private funds in connection with portfolio investments and realizations; the structuring and negotiation of joint venture investments and limited liability companies; the ongoing representation of fund entities, including on regulatory matters; and the structuring and negotiation of spin-off and separation arrangements. Ms. Walsh’s cross-border dealings have included transactions involving investments and investors throughout the world, including Europe, the Middle East, Asia, and Latin America.

Ms. Walsh also has expertise in connection with the acquisition of investment managers, secondary purchase of private equity portfolios and the spin out of private equity managers from financial institution private equity funds. Ms. Walsh also regularly advises private equity funds in connection with portfolio investments and realizations.

As part of her practice, she advises sponsors of private investment funds on registration and compliance matters under the Investment Advisers Act of 1940 and the Investment Company Act of 1940.
