Career Highlights: Julia was admitted as a solicitor in England & Wales in 1985 and has practised as a solicitor in Hong Kong since 1987. She is an experienced practitioner in the field of corporate finance including M&A, private equity, securities, funds, restructuring and regulartory work. Julia has extensive experience of China work and is a Mandarin speaker. Julia has worked with companies in the mining and minerals sectors on a variety of deals. She advises regulators, financial institutions and listed companies on the listing rules of both the Main Board of The Stock Exchange of Hong Kong Limited and the Growth Enterprise Market.

Julia lead the Charltons team, which initiated and coordinated a major project involving over 20 law firms, 50 investment banks and two ‘big 4’ accounting firms to produce the Sponsor Due Diligence Guidelines, published in September 2013.

Julia’s recent restructuring work includes advising a major bank in relation to the default of a borrower under certain pre-financing arrangements, advising two major banks jointly in relation to the default of various PRC borrowers under certain pre-financing arrangements and advising these banks on their rights under relevant insurance policies and other matters in relation to the cross-border enforcement of securities, advising on the pre-insolvency restructuring of an insurance business, preference share refinancings, the restructuring of a hedge fund investment in a trading business with debt and equity components, advising an investment group on the restructuring of a private equity investment, advising a major financial institution on insurance related restructuring and advising a company listed on the main board of the Hong Kong Stock Exchange on its capital reorganisation, group reorganisation and restructuring of its indebtedness and liabilities by way of a scheme of arrangement involving a change of control.

Education & Professional Memberships: Kings College, University of London (AKC LL.B., 1st Class Honours).

Julia is a member of the Takeovers Panel and Takeovers Appeals Panel of the SFC, a member of the Listing Committee of the Stock Exchange of Hong Kong, a fellow and member of the Examinations Committee of the Hong Kong Securities Institute, a member of the Company Law Committee of the Hong Kong Law Society and a member of the Edinburgh Napier University Vice Chancellor’s Asian Advisory Committee. She was named Hong Kong American Chamber of Commerce / South China Morning Post Women of Influence: Professional of the Year 2008.

Awards: Charltons was awarded “Boutique Law Firm of the Year” by Asian Legal Business in 2002, 2003, 2006 to 2013. It was named “Hong Kong’s Top Independent Law Firm” by Euromoney Legal Media Asia Women in Business Law Awards 2012 and 2013, and a finalist for their Best Independent Hong Kong Firm for Work-Life Balance 2013. Charltons received “Legal Restructuring Deal of the Year” in 2000 from International Financial Law Review for its restructuring of Guangdong Enterprises. It was awarded Asian Legal Business’s Equity Market Deal of the Year 2011 for work on AIA’s IPO, and finalist in 2007 for work on China High Speed Transmission Group Co.’s IPO. Charltons was a finalist for China Law & Practice’s “Deal of the Year (M&A)” 2007 for work on Zjjin Mining Group Company Limited’s bid for Monterrico Metals plc.
