Jeremy Jennings-Mares is a partner in Morrison & Foerster’s Capital Markets Group. His transactional practice focuses on securities, structured products, derivatives and structured financings. In particular, he specialises in:

  • structured securities, particularly equity-linked, credit-linked and fund-linked, including CPPI structures and other equity and fund repackagings;
  • medium-term note programmes and other cross-border debt securities offerings;
  • OTC derivatives, particularly credit-linked, fund-linked and equity-linked;
  • securitisations, CDOs and CLOs (cash and synthetic); and
  • receivables financings.

His advisory practice focuses on advising banks and other financial institutions in relation to International financial regulation, in particular in the areas of:

  • structured products, including PRIPs, MiFID/ MiFID II/ MIFIR;
  • OTC derivatives, such as the EMIR regulation and MiFID II/ MiFIR measures;
  • securities and financial instruments, including the Prospectus Directive, Transparency Directive and Market Abuse Directive;
  • financial sector capital and liquidity regulation including the Basel framework and CRD including CRD IV and CRR; and
  • recovery and resolution frameworks and bank ringfencing/separation measures, including the Bank Recovery and Resolution Directive and the Banking Reform Act.

Mr. Jennings-Mares acts for banks, investment banks and other financial institutions, for issuers and investors in financial instruments and for providers and end-users of derivatives and structured products. He writes and speaks regularly on the above, and other, topics and is a contributor to the Covered Bonds Handbook, published by Practising Law Institute (2010, updated 2012-2014) and Structured Products, published by Risk Books (2013).

Mr. Jennings-Mares is recommended as a leading lawyer by Legal 500 UK and PLC Which lawyer? He has also been shortlisted for Global Derivatives Lawyer of the Year in Global Capital’s Global Derivatives Awards 2014. Prior to joining Morrison & Foerster, he was a partner at Freshfields Bruckhaus Deringer from 2001 to 2007, practising in both London and Asia.
