JAMES G. LEYDEN JR. focuses on a wide variety of matters involving Delaware limited liability companies, limited partnerships, general partnerships, statutory trusts, and corporations. A member of the firm's Limited Liability Company and Partnership Advisory Group, he is actively involved in the organization, structuring, and operation of LLCs and partnerships, including structured fi nance transactions; private equity investment fund matters; hedge fund transactions; merger, conversion, acquisition, and dissolution and winding-up transactions; joint venture transactions; strategic alliance transactions; and financing transactions.

Active in the state and national bar, Mr. Leyden serves on the Delaware State Bar Association Corporate Law Section's Limited Liability Company and Partnership Subcommittee, which is responsible for drafting the amendments to the Delaware Limited Liability Company Act, the Delaware Revised Uniform Limited Partnership Act, and the Delaware Revised Uniform Partnership Act. He is also a member of the American Bar Association TriBar Opinion Committee and Legal Opinion Committee.

Mr. Leyden is a co-reporter of the TriBar LLC Report, Third-Party Closing Opinions: Limited Liability Companies.  He is a co-author of four chapters of Transactional Lawyer's Deskbook: Advising Business Entities; Choice, Formation, Operation, Financing and Acquisitions and has published numerous articles concerning Delaware LLCs and partnerships. Mr. Leyden also assisted in writing a book on Delaware limited partnerships and has spoken at continuing legal education programs.

Mr. Leyden is recognized in Chambers USA, The Best Lawyers in America, Lawdragon Leading Lawyers in America, and Delaware Super Lawyers, and he holds Martindale-Hubbell's AV Peer Review Rating. He earned a B.S.A., magna cum laude, from Villanova University and a J.D. from Villanova University School of Law.
