James C. Morphy is a member of the Management Committee of Sullivan & Cromwell LLP after serving for over ten years as the Managing Partner of the Mergers and Acquisitions Group. Mr. Morphy joined Sullivan & Cromwell in 1979 after graduating from Harvard College (BA, Phi Beta Kappa 1976) and Harvard Law School (JD, 1979). 

Major transactions in which Mr. Morphy has been involved in recent years include representing: Transactions Committee of PepsiAmericas in connection with its acquisition by Pepsico; InBev in its acquisition of Anheuser-Busch; Microsoft in connection with its bid for Yahoo!; Director and Bancroft family member of Dow Jones in connection with News Corp. merger; Board of Directors and Strategic Oversight Committee of Bell Canada in pending sale to buyout consortium led by Ontario Teachers and other equity investors; the Strategic Review Committee and independent directors of First Data in sale to KKR; Reed Elsevier in pending acquisition of ChoicePoint; the Board of Directors of Albertsons in its sale to a consortium of Supervalu, CVS and Cerberus; the Chairman and controlling stockholder of Aramark in connection with a management led LBO with a consortium of GS Capital Partners, J.P. Morgan Partners, T.H. Lee and Warburg Pincus; Ohio Casualty in its acquisition by Liberty Mutual; Medco in its acquisition of Polymedica; and Hershey Foods in connection with various transactions; Chairman and controlling stockholder of West Corporation in connection with pending LBO led by T.H. Lee; Inco in its merger with CVRD and the defense of hostile offer by Teck Cominco; Masonite in its acquisition by KKR; CA in its acquisitions of various public software companies; John Hancock in its cross-border merger with Manulife Financial; Sanford Bernstein in its acquisition by Alliance Capital; and UBS in its acquisition of PaineWebber Group. He has also represented special committees of independent directors of Wrigley, Abercrombie & Fitch and Aames Financial in connection with various non-acquisition matters. 

He is a contributing author to a three-volume treatise published by West Publishing entitled New York and Delaware Business Entities: Choice, Formation, Operation, Financing and Acquisitions and a second treatise published entitled Transactional Lawyer’s Deskbook. He serves as Co-Chairman of the Tulane Corporate Law Institute and regularly participates as a faculty member on M&A panels for various other institutes and programs and guest lectures at Harvard Law School. He is a member of ABA Task Force on Proxy Access.

Mr. Morphy was named “Dealmaker of the Year” in 2007 and a leading M&A Lawyer in The Lawyer Transatlantic Elite 2008. He is named as one of the 25 Best M&A Lawyers in the World in a survey by International Financial Law Review and he is named as one of 15 Most Highly Regarded Individuals in Global M&A by International Who’s Who of Business Lawyers.  He is also cited as a leading lawyer in The Best Lawyers in America (Woodward/White), Lawdragon 500 (top 500 U.S. lawyers in all fields), An International Who's Who of Mergers and Acquisitions Lawyers (Law Business Research), Global Guide to the World's Leading Lawyers (Chambers and Partners), Guide to the World's Leading Mergers and Acquisition Lawyers (Euromoney Institutional Investor) and Mergers and Acquisitions Handbook (Global Counsel) and New York Super Lawyers (top 100 votes in all fields).
