Hugo Dubovoy, Jr. is Vice President, Corporate Secretary at W.W. Grainger, Inc. (NYSE: GWW), North America’s leading broad line distributor of maintenance, repair and operating products, with operations also in Asia, Europe and Latin America and 2017 sales of $10.4 billion, and the 10th largest eCommerce retailer in North America.

His responsibilities include advising the Board of Directors and senior management on mergers and acquisitions, corporate finance and general corporate and securities matters while directing legal services for various support functions, including Executive Compensation, Finance, Internal Audit, Investor Relations, Treasury and Tax.

Born in Mexico and fluent in Spanish, prior to Grainger Mr. Dubovoy was a partner at Baker McKenzie and an associate at Skadden Arps. 

Mr. Dubovoy has represented, among others:

  • W.W. Grainger, Inc. in its $482M acquisition of Cromwell
  • CME Group Inc. in its $11.5B acquisition of NYMEX Holdings, Inc., the parent company of the New York Mercantile Exchange
  • CF Industries in its successful $4.7B unsolicited takeover bid and proxy contest with respect to Terra Industries and its concurrent successful defense against an intervening $5.4B unsolicited takeover bid by Agrium
  • Special Committee of the Board of Directors of Tribune Company in its $8.2B going-private transaction
  • Abbott Laboratories in its proposed, but terminated, $8.1B sale of its core laboratory and point-of-care diagnostics businesses to GE
  • Scientific-Atlanta in its $7B acquisition by Cisco Systems
  • US BioEnergy in its $686M merger of equals with VeraSun Energy
  • Ball Corporation in its $600M acquisition of U.S. Can Corporation
  • Hospira in its $145M acquisition of Javelin Pharmaceuticals
  • W.W. Grainger, Inc. in several public debt offerings aggregating to $1.8B
  • CF Industries in its $715M IPO and NYSE listing
  • US BioEnergy in its $160M IPO and NASDAQ listing
  • Morgan Stanley, as managing underwriter for Abbott, in a $3.5B public debt offering
  • Northern Trust in public securities offerings aggregating to over $1.3B
