Hugo Dubovoy, Jr. is Vice President, Corporate Secretary at W.W. Grainger, Inc., North America’s leading broad line distributor of maintenance, repair and operating products, with operations also in Asia, Europe and Latin America and 2016 sales of $10.1 billion. His responsibilities include advising the Board of Directors and senior management on mergers and acquisitions, corporate finance and general corporate and securities matters while directing legal services for various support functions, including Accounting, Executive Compensation, Finance, Internal Audit, Investor Relations, Treasury and Tax. Born in Mexico and fluent in Spanish, prior to Grainger Mr. Dubovoy was a partner at Baker McKenzie and an associate at Skadden Arps.  Mr. Dubovoy has represented, among others:

  • W.W. Grainger, Inc. in its $482 million acquisition of Cromwell Group (Holdings) Limited
  • CME Group Inc. in its $11.5 billion acquisition of NYMEX Holdings, Inc., the parent company of the New York Mercantile Exchange (2008 Deal of the Year, Global M&A Network)
  • CF Industries in its successful $4.7 billion unsolicited takeover bid and proxy contest with respect to Terra Industries and its concurrent successful defense against an intervening $5.4 billion unsolicited takeover bid by Agrium Inc. (2010 Most Innovative Deal, Financial Times)
  • The Special Committee of the Board of Directors of Tribune Company in its $8.2 billion going-private transaction
  • Abbott Laboratories in its proposed, but terminated, $8.1 billion sale of its core laboratory and point-of-care diagnostics businesses to General Electric Company
  • Scientific-Atlanta Inc. in its $7 billion acquisition by Cisco Systems Inc.
  • US BioEnergy Corporation in its $686 million merger of equals with VeraSun Energy Corporation
  • Ball Corporation in its $600 million acquisition of U.S. Can Corporation
  • Hospira Inc. in its $145 million acquisition of Javelin Pharmaceuticals Inc.
  • W.W. Grainger, Inc. in three public debt offerings amounting to $1.8 billion in the aggregate
  • CF Industries in its $715 million initial public offering of common stock and related listing on the NYSE
  • US BioEnergy in its $160 million initial public offering of common stock and related listing on NASDAQ
  • Morgan Stanley as managing underwriter in Abbott Laboratires’ $3.5 billion public offering of debt securities
  • Northern Trust in a $862.5 million public offering of common stock, a $500 million public offering of debt securities, and its repayment of the US Department of the Treasury’s $1.6 billion investment under the TARP Capital Purchase Program
  • Activist hedge fund in connection with successful candidacy for election to Board of Directors of Famous Dave’s of America Inc.
  • Minority shareholder of Taro Pharmaceutical Industries in successfully opposing going-private merger proposed by Taro’s controlling shareholder
  • Various Fortune 500 in general corporate and securities matters, including as to corporate governance, disclosure issues, stock exchange requirements, shareholder activism and corporate control matters
