Gonzalo Rodriguez-Matos advises both domestic and multinational corporations on doing business and investing in Venezuela and Latin America. Gonzalo is experienced in corporate and contractual matters, including the set up of investment vehicles; foreign investment protection; infrastructure projects; contracts with third parties; and regulatory aspects of their activities, such as exchange control regulations.

For more than 20 years, Gonzalo has advised buyers and sellers in important merger and acquisition deals in Venezuela. He has represented clients in many industries, including consumer products, pharmaceuticals, chemicals, oil and gas, banking, food and beverage, and telecommunications.

Gonzalo has also represented some of his corporate clients in antitrust investigations and merger control matters in Venezuela. In addition to his experience in the corporate sector, Gonzalo has been an expert witness in complex arbitration matters and a professor of contract law for more than 10 years.

Gonzalo is admitted to practice in Venezuela and New York.

Prior to joining Hogan & Hartson, Gonzalo was a founding member of a Venezuelan law firm.


REPRESENTATIVE EXPERIENCE

  • Represented a major corporation in the acquisition of another business entity in Venezuela. This representation involved the negotiation of all agreements, due diligence, and integration of newly acquired corporation into existing corporate structure.
  • Represented a major corporation of mass consumer products in the acquisition of a Venezuelan entity by means of asset purchase.
  • Represented a multinational corporation in several antitrust matters, including a case for exclusionary practices and price maintenance practices.
  • Advised a large banking institution on financing of a major gold mining operation in Venezuela.
  • Represented a major telecommunications corporation in the defense of a securities-related litigation against one of its shareholders.
