Gerald Adler represents both public and private companies in a variety of transactions, including mergers, acquisitions, public and private financings, and dispositions of divisions, subsidiaries, and significant assets. In addition, he has represented hedge funds regarding their investments in public and private companies. He also advises on general corporate matters such as employment and other agreements. Mr. Adler has advised a number of special purpose acquisition companies, as well as both issuers and underwriters in public offerings. He has represented companies in all stages of development, from start-up companies in obtaining early-stage financing to mature companies seeking additional capital. He also has represented clients in private placements of debt and equity with various institutions, including insurance companies and major mutual funds.

Mr. Adler received his undergraduate degree from Yeshiva University in 1978 and his law degree in 1981 from Columbia Law School, where he was a Harlan Fiske Stone Scholar. He is active in many civic and professional organizations, including the Westchester Day School and the Dysautonomia Foundation. Mr. Adler was previously a partner at Dechert LLP.
