Gary’s practice focuses on domestic and international tax planning, with a particular emphasis on partnerships, financial products, and natural resources. For more than 25 years, Gary has advised major multinationals, including some of the world’s largest banks, and oil and gas exploration and production companies, on both “inbound” and “outbound” transactions. He adds to the firm's depth of experience in oil and gas taxation, as well as in the structuring of, and raising capital for, master limited partnerships (MLPs). Gary also has led major corporate acquisitions, dispositions, and spin-off transactions, and has structured countless strategic alliances and joint ventures, both domestic and international.

Gary co-authored the treatise Federal Taxation of Partnerships and Partners, (Warren, Gorham & Lamont, 4th edition, copyright 2007). He is an adjunct professor in the Georgetown University Graduate Tax Program, where he has taught advanced partnership taxation for over a decade. A frequent lecturer on complex tax partnership issues, Gary is a regular speaker with the Practicing Law Institute, and has addressed audiences at the National Institute of Tax Professionals, the Tax Executives Institute, the Texas Federal Tax Institute, and the Southern Federal Tax Institute.

  • Western Gas Partners LP in its public offering of 7.5 million common units
  • Oil States International in the $2.6 billion spin-off of its accommodations business, Civeo Corporation, which became an independent, publicly traded company
  • Energy XXI in its $2.3 billion acquisition of EPL Oil & Gas Inc., creating the largest publicly traded independent oil and gas producer on the Gulf of Mexico Shelf
  • Energy Transfer Partners in a $2.7 billion exchange of 50,160,000 Energy Transfer Partners common units held by Energy Transfer Equity for an equal amount of a new class of common Class H units
