Ellis A. Regenbogen is Vice President, Associate General Counsel and Corporate Secretary of USG Corporation. In his role as Corporate Secretary, he has principal responsibility for USG's governance and board affairs matters. As Associate General Counsel, Mr. Regenbogen heads the Corporate Section of the USG Law Department. In this capacity, his responsibilities include providing legal counsel to USG's executive management and its finance, treasury, financial reporting, executive compensation, benefits, investor relations and communications groups regarding corporate, corporate governance, corporate finance, securities regulation, compliance, reporting and disclosure, M&A and related matters.

Mr. Regenbogen has over 40 years' experience representing small to Fortune 50 companies principally in corporate, securities, finance and M&A matters, including as an executive officer, General Counsel and Secretary of two public companies, a Partner in Jones Day and Chairman of the Corporate and Securities Section of a top-15 Dallas firm. He also served as Associate General Counsel - Securities and Governance of Sears Holdings Corporation and earlier in his career was Deputy General Counsel and Secretary of Columbia Pictures Industries Inc.

Mr. Regenbogen is a member of the Association of Corporate Counsel's Corporate and Securities Law Committee, a member of the Corporate Practices Committee of the Society of Corporate Secretaries and Governance Professionals, a past member of the Advisory Committee of the Society's Chicago chapter and a past member of the Board of Advisors of the Corporate Counsel Section of the Dallas Bar Association. He is currently a director of Hubbard Street Dance Chicago, Chair of its Education and Community Programs Committee and a member of its Executive and Finance Committees. He has served as General Counsel (pro bono) of Young Audiences of North Texas, Inc. and President and a Director of the USA Film Festival in Dallas, Texas.

Mr. Regenbogen has been part of the faculty for the PLI Preparation of Annual Disclosure Documents programs in Chicago since 2006 and this past year was part of the faculty for the PLI Hot Issues in Securities Laws 2010: Disclosure Documents and Trends and How to Prepare for the Upcoming Proxy Season programs in Chicago. He has chaired a panel on Financial and Accounting Issues for In-House Practitioners at an Association of Corporate Counsel Annual Meeting and presented the Corporate Governance Officer's Perspective on Corporate Governance to a class in the Markets, Ethics and Law Program at New York University's Leonard N. Stern School of Law.

Mr. Regenbogen is a graduate of Columbia University School of Law and Dartmouth College.
