Dean Pappas, a partner in Goodwin Procter's Business Law Department and a member of the Real Estate, REITs & Real Estate Capital Markets Group, has extensive experience with real estate and corporate transactions.

Work for Clients
Mr. Pappas' practice involves structuring, negotiating, drafting and closing various real estate and corporate transactions, including joint venture formation (partnerships and limited liability companies), merger, acquisition and disposition transactions, construction, mortgage and mezzanine loan transactions, public contracting, leasing and other various transactions.

Professional Activities
In 2011, Mr. Pappas was appointed as the Vice-Chair of ACREL's Investment Entity Committee. He is also a member of the USC Gould School of Law - Los Angeles County Bar Association's Real Estate Law and Business Forum Planning Committee, the Real Property Law Section of the State Bar of California and the American College of Real Estate Lawyers (ACREL).

Mr. Pappas is the author of "The Independent Sector and the Tax Laws: Defining Charity in an Ideal Democracy" in Southern California Law Review; "Constructing and Modernizing Our Public Schools" in California Real Property Journal; and "Issues in Joint Venture Capitalization: May I Have Some More, Please?" published in REsource: A Goodwin Procter Publication for the Real Estate Industry (Spring 2008). He has also been sourced or quoted in several publications, including the Los Angeles Business Journal, Real Estate Southern California, Real Estate Forum, Los Angeles Times and GlobeSt.com.

Mr. Pappas has delivered numerous lectures and presentations for several associations and groups, including: the Los Angeles County Bar Association, the Real Property Law Section of the State Bar of California, the American College of Real Estate Lawyers (ACREL), the California Association of School Business Officials (CASBO), the USC Gould School of Law, the UCLA School of Law, the UCLA Anderson School of Management, the IMN Western Borrowers' & Investors' Forum on Real Estate Mezzanine Loans and the IMN Winter Forum on Real Estate Opportunity & Private Fund Investing.

Most recently, Mr. Pappas participated in a discussion on what lies ahead for lenders and borrowers as part of a GlobeSt.com webcast entitled, "Building Owners at Risk: Surviving Distress." 

Professional Experience
Prior to joining Goodwin Procter, Mr. Pappas was a partner in the Los Angeles office of Mayer, Brown, Rowe & Maw LLP, where he was the Office Practice Leader for the Los Angeles Real Estate Group. Before that, he practiced with O'Melveny & Myers LLP.
