David A.Sakowitz

David Sakowitz is a corporate partner in the firm’s New York office who concentrates his practice in securities, international corporate finance transactions, mergers and acquisitions, and general corporate matters.

Mr. Sakowitz represents issuers and underwriters in the issuance of high-yield debt, equity, and equity-linked securities in SEC-registered, Rule 144A, Regulation S, and private placement transactions. He has been involved in public and private offerings in Latin America, Europe, and the United States, including initial public offerings, rights offerings, and debt-for-equity exchanges.  

Mr. Sakowitz has advised international clients on the securities aspects of debt restructurings, including exchange offers and related transactions.  He also counsels domestic and foreign private issuers regarding ongoing compliance with SEC and NYSE reporting obligations.  Additionally, Mr. Sakowitz advises clients regarding public disclosure obligations and corporate governance issues.  


Mr. Sakowitz is a member of the firm's Corporate Opinion Committee.


Mr. Sakowitz received an A.B., magna cum laude, from Princeton University, Woodrow Wilson School of Public and International Affairs in 1991 and a J.D. from Harvard Law School in 1994, where he was a submissions editor of the Harvard International Law Journal and a supervising editor of the Harvard Journal on Legislation.
