Clay Littlefield is a partner in the federal income and international tax groups. Clay regularly advises hedge funds, venture capital and private equity funds and their investors and management on both the tax and non-tax aspects of various structuring alternatives and investment product proposals.  He also regularly provides counsel and advice in connection with mergers and acquisitions, distressed debt situations, structured finance arrangements, asset-backed securitizations, hedging transactions, and various derivative financial instruments. Prior to joining Alston & Bird, Clay worked in Washington, D.C. as an attorney with the Internal Revenue Service's Office of Associate Chief Counsel, Division of Financial Institutions and Products. Clay is a frequent speaker on topics within his areas of practice, and currently serves as Vice Chair of the Committee on Banking and Savings Institutions for the American Bar Association.
