Charles Edward Smith is the Executive Vice President, General Counsel and Secretary of WMI Liquidating Trust.  The Trust is a successor to Washington Mutual, Inc., the former parent company of Washington Mutual Bank, the largest bank to fail in United States history.  Mr. Smith oversees the Trust’s legal affairs, including ongoing claims litigation, corporate governance and securities compliance. 

Mr. Smith also serves as the Interim Chief Executive Officer, Interim Chief Legal Officer, President and Secretary of WMI Holdings Corp., the company that emerged from one of the largest chapter 11 proceedings in United States history.  In this capacity, Mr. Smith oversees the company’s day-to-day operations and legal affairs, including its corporate governance and securities compliance and assists the company’s board of directors as it evaluates acquisition opportunities.

Prior to the failure of Washington Mutual Bank in September 2008, Mr. Smith was a First Vice President, Assistant General Counsel and Team Lead (Corporate Finance) in the legal department of Washington Mutual, during which time Mr. Smith served as the lead internal counsel supporting the company’s corporate finance activities and he led a team of lawyers who supported the company’s mergers and acquisitions and structured finance activities.  During the pendency of Washington Mutual, Inc.’s chapter 11 proceedings, Mr. Smith acted as the Executive Vice President, General Counsel and Secretary of the company, managing the company’s legal affairs, including its corporate governance and securities compliance.  Mr. Smith also played a critical role in managing the company’s response to the investigation by the U.S. Attorney for the Western District of Washington into the failure of Washington Mutual Bank.

Mr. Smith is a graduate of Boston College and holds a law degree from Columbia University.
