Carey Roberts is a corporate partner in our New York office. Ms. Roberts advises public and private companies on general corporate and securities law matters and a wide variety of capital raising transactions. Her capital markets experience encompasses offerings of common and preferred equity and convertible and high-yield debt, in both the public and private markets, including pursuant to Rule 144A and Regulation S. She regularly represents clients in liability management and restructuring matters such as exchange offers, debt tender offers and consent solicitations.

Ms. Roberts also has significant experience representing hedge funds and other asset management funds on a variety of matters, including structuring, capital raising, and regulatory compliance. She regularly represents institutional investors in connection with their investments in hedge funds and other investment vehicles.

Ms. Roberts is a member of the Association of the Bar of the City of New York. Ms. Roberts received an A.B. with honors from The University of Chicago in 1994. She received a J.D. with honors from The George Washington University Law School in 1997.

Ms. Roberts is admitted to the Bar in New York, Maryland and the District of Columbia.

Representative Matters
Represented The Goodyear Tire & Rubber Company in its $500.0 million offering of mandatory convertible preferred stock and its $650.0 million registered exchange offer of senior notes due 2020 for senior notes due 2011.

Represented Tronox Incorporated in its $245.0 million initial public offering and concurrent Rule 144A offering of $350.0 million of senior notes in connection with its spin-off from Kerr-McGee Corporation.

Represented Charlesbank Capital Partners and its portfolio company, The GSI Group Inc., in connection with GSI’s cash tender offer for all of its outstanding senior notes.

Represented Calpine Corporation in a $2.4 billion multi-tiered offering of senior secured high-yield term loans and notes.
