Bruce Kayle is a partner in the New York office of Milbank, Tweed, Hadley & McCloyand Chair of the firm's Tax Group.

Primary Focus & Experience

A partner since 1990, Mr. Kayle has well-recognized expertise in complex corporate finance transactions, derivative products and specialized financing techniques. His practice involves transactional work on a broad variety of financial products, structured transactions, mergers and acquisitions, financial restructurings and US and foreign securities offerings, and tax controversy work, concentrating on financial products in particular.

  • Counsel to ISDA North American Tax Committee
  • Innovative collaterized commercial paper securities lending transaction
  • Development of tax-efficient structured partnership
  • Restructuring of non-US based investment fund
  • Audit representation of financial institution and corporate clients on financial products issues
  • Structuring private equity investments in US and non-US companies

Recognition & Accomplishments

Before coming to Milbank, Mr. Kayle was on the prestigious staff of the Joint Committee on Taxation of the US Congress where he participated in the formulation and implementation of the Tax Reform Act of 1986.  He served for 10 years on the Executive Committee of the Tax Section of the New York State Bar Association as co-chair of its Committees on Financial Instruments, Tax Accounting and Financial Intermediaries. Mr. Kayle is president emeritus of The Tax Club and a member of The Tax Forum. He is also a member of The Board of Directors of MFY Legal Services and is on the Advisory Board of the Low-Income Taxpayer Clinic of the Legal Aid Society. Mr. Kayle received Legal Aid Society Pro Bono Awards in 2004, 2009, 2010 and 2011 and a Legal Services for New York Pro Bono Leadership Award in 2012. Mr. Kayle is listed in The Best Lawyers in America, the Legal 500, Chambers USA and Chambers Global  “The World's Leading Lawyers for Business”, and is recommended by PLC Which Lawyer? for tax.
