BETH E. FLAMING (née Beth Strutzenberg) has 12 years of experience advising public and privately held companies and boards of directors with respect to public and private mergers and acquisitions, corporate governance and SEC disclosure matters. In addition, Beth has an active practice advising companies in connection with shareholder activists, proxy contests and unsolicited tender offers/takeover defense. Some notable transactions include:

  • Commercial Metals Company in its successful defense against a $1.7 billion hostile tender offer and proxy contest launched by Carl C. Icahn;
  • Fortune Brands, Inc. (n/k/a Beam Inc.) in its spin-off of Fortune Brands Home & Security, Inc. and in its sale of its Cobra golf brand and related assets to PUMA AG;
  • TomoTherapy Incorporated in Accuray Incorporated’s acquisition of TomoTherapy for a total of approximately $277 million;
  • Corn Products International, Inc. in its $1.3 billion acquisition of Akzo Nobel N.V.’s specialty starch business;
  • GE Healthcare in multiple private acquisitions and divestitures, including its acquisition of MicroCal, LLC and its acquisition of certain assets of ONI Medical Systems, Inc.; and
  • Ventana Medical Systems, Inc. in connection with an unsolicited tender offer and subsequent negotiated $3.4 billion acquisition by Roche Holding Ltd.

Beth prides herself on taking a practical approach to problem-solving and doing deals.

Beth has extensive experience with healthcare M&A deals and the particular regulatory and compliance issues that are unique to those transactions, and Beth regularly advises a number of public companies on corporate governance, disclosure and other SEC compliance matters, as well as ISS/proxy advisory firm matters, stockholder proposals and governance best practices.

Beth has been named as a Super Lawyers Rising Star 2010-2012.
