Ann Lawrence is a partner in DLA Piper's Corporate and Finance practice, based in Los Angeles.

Ms. Lawrence has represented underwriters in a wide range of domestic and international corporate transactions, among them leveraged buyouts, restructurings and public and private securities offerings, such as secured and unsecured 144A note offerings, tender offers, convertible bond offerings and registered direct transactions.

Ms. Lawrence has also served as primary outside counsel to numerous public and private companies, representing them in various corporate transactions, including initial public offerings, secondary equity offerings, recapitalizations, public and private securities offerings and public regulatory disclosures. She also advises boards of directors about corporate governance and securities regulation issues.

Ms. Lawrence has counseled community banks and financial institutions regarding capitalization efforts, corporate disclosure and regulatory guidance. Ms. Lawrence also advises community banks and bank-holding companies in corporate transactions including, recapitalizations, mergers and acquisitions, bank seizure and bank-holding company bankruptcy proceedings.
 
Ms. Lawrence has represented underwriters such as Goldman, Sachs & Co., UBS Securities, Credit Suisse, Friedman, Billings, Ramsey & Co., Inc., and Jefferies & Co. in a range of domestic and international corporate transactions, among them leveraged buyouts, restructurings and public and private securities offerings such as secured and unsecured note offerings, tender offers, convertible bond offerings and mezzanine financings.
