Overview

CPE credit (NASBA QAS Self-Study) is available by completing and passing the program’s CPE Review & Exam.

Upon the successful completion of this program, the participant will be able to:

  • List the significant new and developing issues affecting preparation and review of Form 10-K this year-end.
  • Recall the on-going reporting challenges that have affected preparation and review of
    Form 10-K over the last several years and those that continue to affect the current year.
  • Enumerate the current SEC staff focus areas related to Form 10-K.

Course Overview:

This program will focus on:

  • Getting cybersecurity disclosures, including business email compromise risks, right!
  • What should you disclose about Brexit?
  • Details of the changes to your Form 10-K required by the SEC’s Disclosure Update and Simplification Final Rule.
  • Critical accounting estimates and their relationship to critical audit matters in the auditor’s report.
  • SEC focus on new accounting standards disclosures.
  • SEC staff focus areas for 2017 Form 10-Ks.
  • Example disclosures in key areas such as known trends.
  • Accounting watch areas:
    • Fine tuning revenue recognition disclosures
    • SAB 74 disclosures for lease accounting
    • CECL—Will it have an impact on A/R and other financial assets?
    • Costs in cloud computing arrangements
    • Opportunities in the new hedge accounting model
  • Frequent SEC comment areas, including non-GAAP measures.
  • Recent enforcement actions.
  • A brief review of some “old favorite” areas:
    • Impairment issues
    • Foreign exchange issues
    • Commodity price issues
    • Fair value in business combinations and other areas
