Overview

While most of the ethics attention in the press in recent months has been at the federal level, states and localities also have ethics rules.  Companies that are active in one or more states need to comply with a patchwork of laws to reduce risk of an enforcement action and to certify on bids and contracts they are in compliance with ethics rules.  In addition, companies that are sensitive to disclosure of their political activities need to be aware of some new ways states are trying to compel disclosure of such activity, most notably through tracing donors to non-profits.

Please join Patricia M. Zweibel of Skadden, Arps, Slate, Meagher & Flom LLP for an overview of:

  • State and local campaign finance prohibitions and disclosure rules, including recent initiatives at the state level requiring disclosure of donors to 501(c)(4)s and other non-profits
  • State and local lobby and placement agent issues, and the interplay with federal rules such as the SEC Rule 206(4)-5 placement agent rule that will take effect on August 20, 2017
  • Gift and conflict of interest laws
  • Common issues arising from employee personal volunteer political activities
  • Strategies for compliance and managing risk

This presentation will include Chapter 4 from Corporate Political Activities Deskbook to allow you to become more familiar with state campaign finance, lobby, placement agent and conflict of interest concepts in advance of the briefing.  Updates to the Chapter will be discussed and highlighted during the briefing.  Participants in this One-Hour Briefing will be entitled to a 35% discount off the price of PLI’s Corporate Political Activities Deskbook.
