As the 2012 proxy season approaches, issuers need to gear up for a second year of Say-on-Pay voting, as well as a continued focus on corporate governance issues. With the SEC’s universal proxy access rule now vacated, issuers face the prospect of “private ordering” for proxy access through the shareholder proposal process.  Further, issuers are focused now more than ever on how to best reach shareholders through an effective engagement process, and how to adequately address the concerns of shareholders through the voting and engagement process.
