During difficult economic times, when lawyers and their firms feel a particularly strong urge to develop new business, great care must be taken to identify and manage present and potential future conflicts.  Careful preparation of the opening engagement letter is the first and typically the best way to manage these issues.  The engagement letter can and should, as appropriate, make clear who the client is and is not, memorialize a new client’s consent to a conflict generated by the new matter, set out the ground rules for a multiple client representation, and address the thorny issue of conflicts involving affiliates of the new client, among other things.  This presentation will provide a practical guide for successfully navigating these and other issues in the context of a well-crafted engagement letter.
