The U.S. securities laws draw a key distinction between domestic and non-U.S. companies, and in particular a category of non-U.S. companies known as foreign private issuers or FPIs. In most cases, an FPI issuer is an entity (other than a foreign government) incorporated or organized under the laws of a jurisdiction outside of the U.S.  

U.S. regulation of securities offerings is quite complex and may appear overwhelming to an FPI issuer accessing the U.S. capital markets for the first time. In this One-Hour Briefing , Paul M.
